Cinven buys USP Hospitales

Cinven, the UK-based private equity group, on Tuesday announced the €675m leveraged buyout of USP Hospitales. The company is the second-largest private healthcare provider in the Spanish market, focused on long-stay tourists and pensioners in holiday homes.
The deal is the second private healthcare acquisition by Cinven in as many months, after it paid £1.44bn for 26 Bupa hospitals in the UK.
The buyout group said it would continue USP’s recent expansion into the market for tourists and elderly second-home residents in Ibiza, Mallorca and Menorca, as well as the Canary Islands, Malaga and Valencia.
It plans to expand into Morocco, either by organic growth or acquisitions, to capture part of the rapidly developing population of foreign residents and tourists.
There are about 5m long-stay tourists and foreign residents in Spain. They represent a private healthcare market of about €100m-€150m, which is growing at 8 per cent a year.
USP recently expanded into Portugal with the acquisition of a 25 per cent stake in HPP, the fourth-biggest player in the Portuguese market.
Cinven will own 65 per cent of USP, with management owning 25 per cent and Caixa, the Portuguese savings bank, invited to take a 10 per cent stake.
USP’s revenues were €246.7m last year, when it made €37.2m of earnings before interest, tax, depreciation and amortisation. Its revenue and earnings have been increasing by a third on average every year for three years.
The company operates 33 facilities, including 13 hospitals, with more than 1,300 beds. It has a strong presence in Madrid and Barcelona and specialises in obstetrics, gynaecology, orthopaedic surgery, internal medicine, diagnostic services, general surgery and oncology.
Spain’s private healthcare market is less developed than most other European countries. It is growing at about 6-7 per cent annually, compared with stagnant growth in more developed markets, such as the UK.
Analysts are positive about the long-term prospects of the business as governments increasingly seek low-cost high-quality alternatives to publicly provided hospital care.
Cinven also owns Partnerships in Care, the UK’s main provider of specialist mental health and related services. It said there would be no synergies between its Spanish and UK operations, though there could be an exchange of best practices.
